In some situations, such as in a software purchase, a corporation has the ability to negotiate how frequently a software vendor or group can ask for audits.
"If I have to give the vendor an audit right, I’ll say it doesn’t arise until 12 or 24 months after the start of the contract," says Robert Weiss, a partner at Neal, Gerber & Eisenberg. "So while you get used to using the software, they can’t audit you in the first 12 months."
Audits are commonly allowed once a year, and although negotiating can be tough, companies are best situated to do so when they make regular and sizeable purchases from a single vendor.
