Gallagher advises Höegh LNG Partners on $150M IPO

The Marshall Islands-incorporated company plans to trade on the New York Stock Exchange

Vinson & Elkins partner Catherine S. Gallagher is part of the team representing Höegh LNG Partners LP on its recently filed initial public offering for $150 million. The Marshall Islands-incorporated company plans to trade on the New York Stock Exchange.

The company owns, operates and acquires floating storage and regasification units, liquefied natural gas (LNG) carriers and other LNG infrastructure assets under long-term charters.

Citigroup is the structuring agent and a book-running manager of the offering, according to the company.

Based in the firm’s Washington, D.C., office, Gallagher's principal practice areas include representing issuers and underwriters in a variety of corporate securities transactions, including private placements, IPOs, registered secondary equity and debt offerings, Rule 144A/Regulation S offerings, medium-term note programs and continuous equity programs. She has also represented clients in mergers and acquisitions and provided advice on general corporate and securities matters. Gallagher’s focus includes master limited partnerships, shipping companies, offshore drillers and real estate investment trusts.

Among her past deals, she has represented an offshore drilling rig MLP in connection with its $220 million IPO, three secondary equity offerings and five acquisitions and also represented a liquefied natural gas carrier MLP in connection with its $310 million IPO, four secondary equity offerings and five acquisitions
