Mayer Brown’s Carlson and Flax launch corporate and securities practice in Palo Alto

Jennifer Carlson and Nina Flax are launching the practice in conjunction with a move from Chicago

With their move from Mayer Brown’s Chicago office, partners Jennifer Carlson and Nina Flax are establishing a corporate and securities practice in the firm’s Palo Alto office.

“California is one of the fastest-growing international economies, and companies across the globe—particularly those based in East Asia—are increasingly looking to invest or operate in the Bay Area and Silicon Valley,” said Carlson in a statement.

Carlson represents companies, investors and underwriters in a wide variety of capital markets and finance transactions, including initial public, follow-on and secondary equity offerings; investment grade, high yield and convertible debt offerings; venture capital investments; and liability management transactions. She advises buyers and sellers in private and public mergers and acquisitions, tender offers, private equity investments and other strategic transactions.

Flax focuses on representing buyers and sellers in connection with domestic and international stock and asset acquisitions and divestitures, mergers and similar transactions. She also assists clients in negotiating and establishing domestic and international joint ventures, consortiums and complex commercial arrangements, representing U.S., foreign and multinational corporations, private equity firms and other public and private entities.
