As many Americans were gearing up to pay their taxes on April 15, Davis Polk Partner Kathleen L. Ferrell has been part of the team advising clients on tax issues for several major deals.

Since March, Ferrell has been listed as a team member on Sociedad Minera Cerro Verde S.A.A.’s $1.8 billion five year senior unsecured term loan credit facility; SLM Corp.’s (Sallie Mae) SEC-registered offering of $850 million aggregate principal amount of 6.125 percent notes due March 25, 2024 and the strategic separation of its loan management, servicing and asset recovery business Navient; Roche’s acquisition of IQuum, Inc. for an upfront cash payment of $275 million and up to $175 million in contingent payments; and Munder Capital Management’s acquisition by Victory Capital Holdings, Inc., where the terms were not disclosed, among others.

Ferrell, a member of Davis Polk’s Tax Department, focuses her practice on advice to corporate and private equity fund clients on mergers, acquisitions, spinoffs and other major corporate transactions. She also advises clients on joint ventures, bankruptcy, reorganizations, workouts and tax legislative and administrative matters.

Before joining Davis Polk, she served in the Treasury Department’s Office of Tax Policy as an attorney-adviser in the Office of Tax Legislative Counsel and as the special assistant to the assistant secretary of Tax Policy.
